Fanclb Team Platform Terms
These Team Platform Terms (“Terms”) govern the relationship between Fanclb LLC (“Fanclb”) and the professional or amateur sports team, club, franchise or similar entity (“Team”) that uses the Fanclb platform to operate a fan engagement and monetization program (the “Program”).
These Terms incorporate and supplement Fanclb's general Terms of Service and are incorporated by reference into each team-specific agreement or onboarding document.
1. Definitions
Fanclb Platform. The Fanclb websites, mobile apps and related services, including tools, software, APIs and documentation used to operate the Program.
Fans. Individuals who join the Program to access content, experiences, memberships or merchandise.
Authorized Users. The Team, its employees, contractors and anyone acting on its behalf.
Content. Any text, images, video, audio or other materials uploaded to the Platform.
Revenue. All amounts collected from Fans through the Platform.
Confidential Information. All non-public information disclosed by one party to the other that reasonably should be understood as confidential.
2. License to Use the Fanclb Platform
Fanclb grants the Team a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely to operate the Program, subject to compliance with these Terms.
2.1 Restrictions
- Copy, modify, reverse engineer or create derivative works of the Platform;
- Interfere with the Platform or its security features;
- Access the Platform using automated means except as permitted;
- Remove proprietary notices;
- Use the Platform for unlawful or improper purposes;
- Resell or sublicense access without written consent.
3. Team Content and Intellectual-Property Rights
Ownership. The Team retains ownership of its trademarks and intellectual property. By uploading Content, the Team grants Fanclb a worldwide, royalty-free license to use it in connection with the Platform and Program.
Fanclb IP. Fanclb retains all rights in the Platform and related technologies.
Fan Content. Fanclb may remove Fan-submitted content that violates these Terms or the Acceptable Use Policy.
4. Acceptable Use and Community Standards
- Infringing intellectual-property rights;
- Harassing, threatening or abusive conduct;
- Obscene, hateful or offensive material;
- Illegal activity or malware;
- Spam or unauthorized advertising;
- Violations of privacy rights.
Fanclb may remove content or suspend access for violations.
5. Payment and Revenue
Revenue categories, processing, taxes, refunds and chargebacks are governed by the Team Payment Terms and the Team’s participation agreement.
6. Privacy and Data
The Team acknowledges Fanclb’s Privacy Policy and Data Processing Addendum and agrees to use Fan data solely for Program purposes and in compliance with applicable law.
7. Representations and Warranties
Each party represents that it has authority to enter these Terms and will comply with applicable laws.
8. Indemnification
Each party agrees to indemnify the other against third-party claims arising from breaches of these Terms or applicable law.
9. Disclaimers and Limitation of Liability
The Platform is provided “as is.” Liability is limited to the maximum extent permitted by law.
10. Term and Termination
These Terms may be terminated with notice, subject to seasonal protections and post-termination access to data as described herein.
11. Governing Law; Dispute Resolution
These Terms are governed by Delaware law and disputes will be resolved by binding arbitration.
12. Miscellaneous
These Terms constitute the entire agreement and include standard provisions on assignment, severability, confidentiality and force majeure.
